Job DescriptionWe are looking for a skilled Paralegal Assistant to join our team in San Diego, California. This position is focused on providing critical support to our Mergers & Acquisitions and Corporate Law team, ensuring all transactional processes and legal workflows are handled efficiently and accurately. This is a Contract position that offers a dynamic opportunity to contribute to complex corporate transactions while collaborating with a detail-oriented legal team.
Responsibilities:
• Monitor and manage closing deliverables, ensuring all transaction-related tasks are completed promptly and accurately.
• Compile and maintain regulatory filings and licensing documentation, verifying compliance with relevant standards.
• Prepare and file corporate paperwork with state and federal entities, maintaining precision and adherence to deadlines.
• Draft and review signature blocks, coordinate document execution, and oversee the proper handling of originals and copies.
• Assist in legal due diligence by gathering and organizing essential documents and data to support evaluation processes.
• Maintain secure and organized data rooms, managing access and ensuring all files are current for deal teams and clients.
• Support attorneys in drafting, editing, and finalizing transactional documents and related correspondence.
• Collaborate with clients and external parties to secure signatures and required information for filings.
• Track post-closing obligations and assist in maintaining corporate compliance as directed.
• Minimum of 3 years of experience as a Paralegal Assistant or in a similar role.
• Proficiency with Clio case management software and familiarity with corporate transactions.
• Strong knowledge of transactional law and experience handling mergers and acquisitions.
• Excellent organizational skills with the ability to manage complex workflows and prioritize tasks.
• Exceptional attention to detail and accuracy in document preparation and filing.
• Effective communication skills to coordinate with clients, attorneys, and external parties.
• Ability to work in a fast-paced environment and meet tight deadlines.
• Experience with managing data rooms and regulatory filings is highly desirable.
