Job DescriptionSaronic Technologies is a leader in revolutionizing autonomy at sea, dedicated to developing state-of-the-art solutions that enhance maritime operations through autonomous and intelligent platforms.
We are seeking an experienced In-House Counsel with strong corporate and finance expertise to oversee our company’s equity portfolio and provide legal guidance on related corporate, transactional, and financial matters. This role will be central to ensuring compliance, managing ownership structures, and supporting the company’s capital and governance strategy as we grow.Key Responsibilities:

  • Corporate Governance
  • Manage and streamline board operations, resolutions, consent agreements, equity reporting obligations, and governance policies.
  • Ensure compliance with corporate formalities, any applicable securities regulations, and state/federal/international filings.
  • Design and roll out a compliance infrastructure covering key securities regulations (including the 1933 and 1934 Acts, Reg D offerings, Rule 701, insider-trading rules, etc.).
  • Develop and maintain internal processes for tracking corporate governance documents.
  • Provide legal support for fundraising rounds, convertible notes, SAFEs, and related instruments.
  • Assist with M&A due diligence, corporate restructuring, and integration activities.
  • Collaborate with the finance team on corporate finance strategy, debt arrangements, and investor communications.
  • Transactions & Financial Operations
  • Provide legal support for fundraising rounds, convertible notes, SAFEs, and related instruments.
  • Assist with M&A due diligence, corporate restructuring, and integration activities.
  • Partner with Finance and Accounting on matters involving internal controls, corporate finance strategy, debt arrangements, audit compliance and investor communications.
  • Equity and Ownership Management
  • Oversee and maintain the company’s cap table, option plans, and equity incentive programs.
  • Advise on the issuance, transfer, and repurchase of shares and options.
  • Coordinate with external counsel, finance, and HR on equity grants, 409A valuations, and employee equity education.
  • Draft and review stock option agreements and related documentation.
  • Design and roll out a compliance infrastructure covering key securities regulations (including the 1933 and 1934 Acts, Reg D offerings, Rule 701, insider-trading rules, etc.).
  • General Legal Support
  • Advise on risk management, contracts, and internal policies that have financial or corporate implications.
  • Coordinate with external legal counsel for specialized issues.
  • Provide training to internal stakeholders on position-related compliance, equity, and governance best practices.

Required Qualifications:

  • 5+ years of experience in corporate, securities, or transactional law (in-house or at a top tier law firm), with exposure to equity administration and M&A.
  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • Clear understanding of private company equity structures, venture capital, and corporate governance.
  • Demonstrated experience managing cap tables, option programs, and financing rounds.
  • Excellent communication, analytical, and organizational skills.
  • Ability to work cross-functionally and manage multiple priorities in a fast-paced environment

Preferred Qualifications:

  • Experience at a fast-growing startup, technology company, or in Big Law corporate practice.
  • Familiarity with Carta, Shareworks, or similar equity management platforms.
  • Experience supporting complex corporate transactions or large-scale financing events

Physical Demands:

  • Prolonged periods of sitting at a desk and working on a computer.
  • Occasional standing and walking within the office.
  • Manual dexterity to operate a computer keyboard, mouse, and other office equipment.
  • Visual acuity to read screens, documents, and reports.
  • Occasional reaching, bending, or stooping to access file drawers, cabinets, or office supplies.
  • Lifting and carrying items up to 20 pounds occasionally (e.g., office supplies, packages).
